The surviving corporation generally is liable for the disappearing corporation's premerger obligations by operation of law. The customer must prove that the surviving corporation committed fraud in negotiating the merger before any claim can proceed. The customer may sue only the officers of the disappeared corporation because the corporation no longer exists. The merger eliminates all premerger liabilities unless the claimant objected before filing.
